Indivior and Reckitt Benckiser move up end date of Suboxone/Subutex supply deal

Indivior UK Limited and Reckitt Benckiser Healthcare (UK) Limited signed a deed of variation and termination on September 9, 2026, according to an 8-K filed by Indivior Pharmaceuticals, Inc. The agreement modifies a copacker supply arrangement that the two companies originally entered in December 2014 and had amended in March 2019.¹

Under that original arrangement, RB manufactures SUBOXONE® Tablets and SUBUTEX® Tablets for Indivior.¹ The new deed moves up the contract's expiration. The two companies agreed to shift the wind-down date of the supply agreement forward to January 15, 2027.¹ Until that new date, the original supply agreement, as modified by this latest deed, stays in force.¹

Indivior said it has lined up a replacement source of supply. The company has identified a new supplier, though its obligations under that new arrangement will only become binding once the supplier's manufacturing process is validated, and Indivior said this new agreement is not expected to be material to the company.¹

The termination deed also sets out financial terms for the transition. RB agreed to produce additional units before the new end date, and Indivior agreed to cover certain costs tied to the change, including expenses from ordering lower volumes than originally planned, asset disposal and depreciation recovery costs, redundancy costs, incentive costs, and possible third-party costs.¹ Indivior said the total of these costs is fixed or capped and will not be material to the company.¹
