Silo Pharma buys software assets from Parkview Consulting in stock deal

On August 18, 2026, Silo Pharma, Inc. entered into an asset purchase agreement with Parkview Consulting LLC.¹ Under the agreement, the seller agreed to sell, and Silo Pharma agreed to buy, certain software, technology, domain names, and related intellectual property, described as the Purchased Assets.¹

Corwin Yu, the sole member and manager of Parkview Consulting, currently serves as the lead strategic advisor on Silo Pharma's Cryptocurrency Advisory Board.¹

As payment for the Purchased Assets, Silo Pharma issued 165,000 shares of its common stock, par value $0.0001 per share, to the seller.¹ Those shares carry a lock-up period that starts on the agreement's effective date and ends at the earliest of twelve months later, a change in control as defined in the agreement, or written consent from the company.¹ During that lock-up window, Parkview cannot sell, transfer, pledge, or otherwise dispose of the shares, nor enter into swaps or similar transactions that would shift the economic ownership of the shares, without Silo Pharma's prior written consent.¹

The agreement includes standard representations, warranties, and covenants, and the seller agreed to indemnify Silo Pharma for misrepresentation or breach, third-party infringement tied to the software, or gross negligence, fraud, or intentional misconduct by the seller.¹

The share issuance to Parkview was made under the private placement exemption in Section 4(a)(2) of the Securities Act of 1933.¹ The full asset purchase agreement, dated August 18, 2026, is filed as Exhibit 10.1 to the filing.¹ The report was signed on August 19, 2026 by Eric Weisblum, Chief Executive Officer.¹
